End User License Agreement

By accessing or using the CR Elevator platform, customer portal, ordering system, or any related services (collectively, the "Platform"), you agree to be bound by this End User License Agreement ("Agreement"). This Agreement is a legally binding contract between you ("User," "you," or "your") and CR Elevator ("CR Elevator," "we," "us," or "our"). If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

If you do not agree to these terms, you must immediately discontinue use of the Platform. CR Elevator reserves the right to update this Agreement at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised terms.

Subject to your compliance with this Agreement, CR Elevator grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes — specifically, to browse and purchase elevator parts and products, manage your orders and account, access technical resources, and communicate with CR Elevator staff.

This license does not include the right to: (a) sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Platform; (b) modify, translate, adapt, or create derivative works based on the Platform; (c) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform; (d) use the Platform to build a competing product or service; or (e) use automated tools, bots, or scrapers to access or extract data from the Platform without prior written consent.

To access certain features of the Platform, including the customer portal and ordering system, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information to keep it accurate; (c) maintain the confidentiality of your login credentials and not share them with any third party; (d) notify CR Elevator immediately at sales@crelevator.com if you suspect unauthorized access to your account; and (e) accept responsibility for all activities that occur under your account.

CR Elevator reserves the right to suspend or terminate accounts that violate this Agreement, provide false information, or engage in fraudulent activity. Customer accounts are subject to approval by CR Elevator and are intended for licensed elevator contractors, distributors, and qualified industry professionals.

The Platform provides an ordering system for elevator parts, components, and related products. By placing an order through the Platform, you agree to the following:

4.1 Order Accuracy: You are responsible for ensuring the accuracy of all order information, including product specifications, quantities, shipping addresses, and project details. CR Elevator is not liable for errors resulting from inaccurate information provided by the user.

4.2 Pricing: All prices displayed on the Platform are in U.S. dollars and are subject to change without notice. Prices shown to registered customers may differ from publicly displayed prices. CR Elevator reserves the right to correct pricing errors and cancel orders placed at incorrect prices.

4.3 Order Acceptance: Submission of an order does not constitute a binding contract until CR Elevator confirms acceptance. We reserve the right to refuse or cancel any order for any reason, including product unavailability, pricing errors, or suspected fraudulent activity.

4.4 Payment: Payment terms are established at account setup. Approved accounts may be subject to net payment terms. CR Elevator reserves the right to require prepayment or modify payment terms at any time.

4.5 Shipping & Delivery: Delivery timelines are estimates and not guaranteed. CR Elevator is not liable for delays caused by carriers, customs, weather, or other circumstances beyond our control.

4.6 Returns & Cancellations: Returns and order cancellations are subject to CR Elevator's return policy in effect at the time of purchase. Special-order, custom, or electrical components may be non-returnable. Contact sales@crelevator.com for return authorization.

All content, materials, and technology on the Platform — including but not limited to text, graphics, logos, product images, technical specifications, wiring schematics, installation guides, service manuals, software, and the overall design and compilation of the Platform — are the property of CR Elevator or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Platform without prior written permission from CR Elevator. Technical documents, manuals, and resources provided through the Platform are licensed for your internal business use only and may not be redistributed or resold.

You agree not to use the Platform for any of the following purposes:

(a) Any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation; (b) To transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation; (c) To impersonate any person or entity or falsely represent your affiliation with any person or entity; (d) To upload, transmit, or distribute any viruses, malware, or other harmful code; (e) To attempt to gain unauthorized access to any portion of the Platform, other accounts, or connected systems; (f) To interfere with or disrupt the integrity or performance of the Platform or its infrastructure; (g) To collect or harvest any personally identifiable information from the Platform without authorization; (h) To use the Platform to compete with CR Elevator or to assist a competitor; (i) To misrepresent your professional qualifications or licensing status when registering for an account.

CR Elevator provides technical resources through the Platform, including installation guides, wiring schematics, service manuals, state-specific regulations, and product specifications. These resources are provided for informational purposes to assist qualified elevator professionals.

You acknowledge that: (a) installation and maintenance of elevator equipment must be performed by licensed and qualified professionals in accordance with applicable codes and regulations; (b) product specifications and technical data are subject to change without notice; (c) CR Elevator does not warrant that technical resources are complete, error-free, or applicable to every installation scenario; and (d) you are solely responsible for verifying that products and specifications meet the requirements of your specific project and comply with all applicable codes.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CR ELEVATOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CR ELEVATOR DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED; OR (D) PRODUCT AVAILABILITY INFORMATION IS ACCURATE AT ALL TIMES.

Product warranties, if any, are governed by the applicable manufacturer's warranty terms and are separate from this Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CR ELEVATOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF CR ELEVATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CR ELEVATOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO CR ELEVATOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CR Elevator and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of this Agreement; (b) your use of the Platform; (c) your orders, projects, or installations; (d) your violation of any third-party rights; or (e) any content you submit through the Platform.

CR Elevator reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of this Agreement, non-payment of invoices, fraudulent activity, or conduct that CR Elevator determines to be harmful to other users or to CR Elevator's business.

Upon termination: (a) your license to use the Platform immediately ceases; (b) you must cease all use of the Platform; and (c) provisions of this Agreement that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

You may terminate your account at any time by contacting sales@crelevator.com. Termination does not relieve you of any outstanding payment obligations.

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or your use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Cobb County, Georgia.

Before initiating any formal legal proceeding, you agree to first contact CR Elevator at sales@crelevator.com and attempt to resolve the dispute informally. If the dispute cannot be resolved within thirty (30) days, either party may pursue formal legal remedies.

13.1 Entire Agreement: This Agreement, together with our Privacy Policy and any additional terms applicable to specific services, constitutes the entire agreement between you and CR Elevator regarding your use of the Platform and supersedes all prior agreements.

13.2 Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

13.3 Waiver: CR Elevator's failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

13.4 Assignment: You may not assign or transfer this Agreement or any rights hereunder without CR Elevator's prior written consent. CR Elevator may assign this Agreement without restriction.

13.5 Force Majeure: CR Elevator shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, or disruptions to telecommunications or power infrastructure.
